These Terms of Service govern your access to Reforma’s website at reforma.ai, its AI-assisted website development platform, and its related editing, workspace, publishing, and hosting services (together, the “Services”). They are an agreement between you and Reforma, Inc., a Delaware corporation (“Reforma,” “we,” “us,” or “our”). Our mailing address is 3126 S. Sepulveda Blvd., Ste. 1310, Los Angeles, CA 90034, United States. You can contact us at info@reforma.ai.
By clicking to accept these Terms when presented to you, you agree to them. If you accept for a company or another organization, you represent that you have authority to bind it, and “you” means that organization. Otherwise, “you” means you personally. If you do not agree, do not create an account or use the Services.
If you are a consumer, you may have mandatory rights under the law where you live. These Terms do not exclude or restrict those rights. Where a provision conflicts with a right that cannot lawfully be excluded, that right takes precedence.
Eligibility and accounts
You must be at least 18 years old and legally able to enter into this agreement. You must provide accurate account and billing information, keep it current, and protect your login credentials. Do not share an individual login to avoid seat limits. Notify us promptly at info@reforma.ai if you suspect unauthorized access.
You are responsible for activity you authorize through your account and for users you invite to your workspace. This does not make you responsible for unauthorized activity caused by our failure to meet an applicable legal obligation.
The Services are offered internationally, subject to applicable law, sanctions, export restrictions, and provider availability. You must not use the Services where doing so is prohibited or use them to evade these restrictions. Some features, models, or integrations may not be available in every country.
Workspaces and client projects
Workspace administrators can manage access and permissions available in the product. Before adding material to a workspace, make sure you are permitted to share it with the people who can access that workspace. The customer responsible for the workspace must obtain appropriate authority for its users’ access and actions.
You may use Reforma to create and maintain websites for clients. Your agreement with a client determines ownership between you and that client, your fees, maintenance responsibilities, and any agreed handover. You must have permission to upload client materials and instruct AI services to process them. You must explain any hosting or access dependency on your Reforma subscription to your client.
Reforma does not become a party to your client agreement. Paying a subscription, administering a workspace, or inviting a collaborator does not itself transfer ownership of project content. Transfers of workspace control or billing are subject to the functionality we make available and appropriate verification of authority.
Using the Services
Subject to these Terms, we grant you a limited, non-exclusive right to use the Services for your personal or business purposes, including creating and hosting client websites, within your plan’s limits. This permission does not transfer ownership of the platform or allow you to resell access to Reforma itself without our agreement.
Your plan and checkout describe available features, seats, published websites, resource limits, and AI allowances. Free allows building, editing, and limited publishing on a Reforma-provided domain, subject to Free limits. Free does not include custom-domain publishing. Paid plans provide the features purchased, including custom-domain publishing where included. Additional seats and published websites may require additional fees.
We may maintain and update the Services and introduce or retire features. We will give reasonable notice of changes that materially reduce a paid service during a prepaid period, unless urgent legal or security circumstances prevent advance notice. Any change remains subject to your contractual and mandatory legal remedies. Experimental or beta features may be identified separately and may change or be withdrawn; they do not create an uptime or performance commitment.
Subscriptions and payments
Paid subscriptions are charged in advance on a monthly or annual basis, as selected at checkout. Your subscription automatically renews for successive periods of the same length unless you cancel before the next renewal charge. Checkout will show the amount, currency, billing frequency, applicable taxes, and recurring add-ons before you authorize payment.
Stripe processes payments for Reforma. You authorize the recurring charges you accept at checkout and any additional purchases you separately authorize. Keep your payment details current.
If a subscription payment fails, we will send an automated notice to your account email address and may automatically retry the charge. If the payment remains unpaid seven calendar days after the first failed payment attempt, we will suspend paid features, including custom-domain publishing and paid hosting entitlements, without further notice unless required by law. Payment retries do not restart this seven-day period. Suspension of paid features does not itself delete your projects or expire purchased credits; Free-plan access remains subject to Free limits and these Terms. We may act sooner where necessary to address fraud, a security threat, or a legal requirement.
Applicable transaction taxes will be displayed and collected as required by law. You must supply accurate billing and tax information. You are not responsible for taxes on Reforma’s net income.
Fees for plan changes, extra seats, extra published websites, and credit purchases must be disclosed before you agree to them. Any proration will be shown when the change is offered. An annual subscription is prepaid for the annual period; monthly credit refreshes do not make it a monthly payment commitment.
We will notify you of subscription price changes before they apply. A subscription price increase will apply no earlier than your next renewal, with at least 30 days’ advance notice and any additional notice or consent required by law. You may cancel renewal before the changed price applies. We will also provide renewal reminders and payment acknowledgments where required by law.
AI credits
Credits measure access to eligible AI features. The allowance, cost of additional credits, and applicable usage rates are disclosed in the Services or at checkout. Credit consumption can vary by model and operation. Credits do not promise a particular result or a fixed number of successful website changes.
Included credits refresh monthly, including on annual subscriptions. Unused included credits expire at the next monthly refresh and do not roll over. The monthly allowance and refresh date are shown in your account. When your paid subscription ends, the Free allowance and limits apply.
Purchased top-up credits do not expire while your account exists and remain usable after a downgrade to Free. They provide AI usage; they do not unlock custom-domain publishing, additional hosting capacity, extra seats, or other paid features. Additional purchases require your authorization. The availability and charging rules for any usage through your own AI account will be disclosed separately from Reforma credits.
Credits cannot be sold, transferred to another customer, or redeemed for cash, except where required by law. Subscription cancellation alone does not remove purchased credits. If you request permanent account deletion, remaining credits become unavailable with that account; this does not limit any legally required refund or redemption. Contact us before requesting deletion if you need help identifying your remaining balance.
If you believe usage or credits have been charged incorrectly, contact info@reforma.ai. We will investigate and correct confirmed billing or metering errors. Our records do not remove your right to dispute an incorrect charge.
Cancellation and refunds
You can cancel automatic renewal in your account settings. If you cannot access the cancellation control, contact info@reforma.ai for assistance. Cancelling renewal stops future renewal charges and normally leaves paid access available until the end of the period already paid for. Cancellation does not itself delete your account.
At the end of the paid period, your workspace downgrades to Free. Your projects remain available subject to Free limits, and paid features and paid seat entitlements end. Custom-domain publishing is no longer included. Limited publishing remains available on a Reforma-provided domain within Free limits; any website you continue to publish must meet those limits. Purchased top-up credits remain usable as described above. If you host client websites, you are responsible for informing your clients and making any arrangements necessary for the change in domains, hosting limits, and paid features.
We do not offer voluntary refunds for subscription payments, renewals, unused portions of a billing period, or purchased credits. This policy does not affect refunds, withdrawal rights, remedies for defective or undelivered services, or credit redemption required by law. Confirmed billing errors will be corrected. A request exercising a statutory right is handled under that right, rather than as ordinary end-of-period cancellation.
Consumer withdrawal rights
If EU, EEA, or UK consumer law gives you a right to withdraw from this contract, you generally have 14 days from entering into it to exercise that right without giving a reason. Additional or different mandatory rights may apply where you live. You can notify us by a clear statement sent to info@reforma.ai or the mailing address above. Sending your notice before the withdrawal period ends is sufficient. You do not have to use a particular form. Where applicable law requires an online withdrawal function, we will provide that function in addition to these notice methods.
You may use this model notice: “To Reforma, Inc., info@reforma.ai, 3126 S. Sepulveda Blvd., Ste. 1310, Los Angeles, CA 90034, United States: I give notice that I withdraw from my contract for the following service: [service]. Contract date: [date]. Consumer name and address: [details]. Account email: [email]. Date: [date].” Include a signature only if submitting the notice on paper.
Where you validly exercise a withdrawal right, we will reimburse the amounts required by law, normally within 14 days after receiving your notice and using the original payment method unless you agree otherwise, without a reimbursement fee. If you expressly requested that services begin during the withdrawal period and the legal conditions for doing so were satisfied, a lawful proportionate charge for services already supplied may apply. Merely using an ongoing subscription or generating an AI output does not automatically waive your statutory withdrawal right. Any exception requires the conditions and separate acknowledgments required by applicable law.
If Australian Consumer Law applies, its consumer guarantees and remedies remain available, including applicable rights to cancellation, refunds, and compensation for a failure to meet those guarantees. The same principle applies to non-excludable protections in other jurisdictions.
Your content and generated output
“Your Content” means the prompts, text, images, files, code, and other materials you or your authorized users submit to the Services, together with the output generated for you through the Services. As between you and Reforma, you retain your rights in Your Content. To the extent Reforma acquires transferable intellectual property rights in output generated for you, we assign those rights to you. This does not transfer rights in Reforma’s platform, existing tools or materials, or third-party materials.
You grant Reforma a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, and display Your Content only as reasonably necessary to provide and secure the Services, carry out your instructions, provide support, and comply with law. This includes processing through service providers and making websites available to the public when you publish them. The license continues after deletion only to the limited extent needed for lawful retention, restricted backup copies, and completing deletion processes; it does not permit continued public hosting after your publishing authorization ends.
This license does not authorize us to use Your Content in advertising or to train AI models. You are responsible for having the rights and permissions necessary for your materials and instructions, including permissions from clients and other rights holders.
AI output may not be unique and may resemble output supplied to other users. It may not qualify for copyright protection. Output may include third-party or open-source material subject to separate license and attribution requirements. You must assess those requirements before using or distributing it. We do not promise that output is exclusive or free from third-party claims.
Ownership of Your Content does not itself create access to internal repositories or a code-export feature. These Terms do not promise external repository access or code export. Any mandatory rights to retrieve content or personal data remain unaffected.
AI features and connected providers
Reforma uses third-party AI services, including Anthropic, OpenAI, and Google Gemini. Using an AI feature can require sending prompts, relevant project context, uploaded materials, and generated output to the provider used for that feature. Relevant provider arrangements and our Privacy Policy govern that processing; these Terms do not constitute consent to unrelated data uses.
Reforma does not use Your Content to train AI models. This statement concerns Reforma’s own use. A provider’s handling of content depends on its applicable service, agreement, and settings and can differ between commercial APIs and customer-connected accounts. We do not make a blanket promise that every provider or customer-connected account excludes training or retention. Nothing in this paragraph removes Reforma’s own duties concerning providers it selects or personal data it processes.
Where supported, you may connect your own provider API key or subscription. Connect only accounts you are authorized to use and only through an integration permitted by the provider. You authorize Reforma to use that connection to perform the operations you request. You remain responsible for your direct provider agreement, applicable usage limits, and charges billed by that provider. Provider subscription fees and API usage charges may be separate; a subscription does not necessarily include API usage.
Your provider’s privacy, training, and retention settings can affect processing through your connection. Review them before sending confidential, client, or personal information. Protect your credentials, do not place secrets in public project code, and disconnect or revoke compromised access promptly. Ending a Reforma subscription does not cancel a subscription you hold directly with a provider.
AI can produce incorrect, insecure, incomplete, or infringing material and can make changes you did not expect. Review and test generated code, content, integrations, and changes before publishing or relying on them. You remain responsible for deciding whether a website is suitable for its intended use, including its security, accessibility, content, and legal requirements. AI features are not a substitute for qualified professional advice or suitable human supervision.
Hosting and domains
You are responsible for the content and operation of websites you publish, including permissions, required notices, privacy information, cookie choices, and obligations to your visitors or customers. Reforma is not the seller of products or services you offer through your website merely because we host it.
Connecting a custom domain does not transfer its ownership to Reforma. Unless a separate offer expressly provides otherwise, you are responsible for domain registration, renewal, and DNS settings through your registrar. Reforma-provided domains and subdomains remain part of our service infrastructure and do not become your property.
Hosting and sandboxes are subject to the resource limits disclosed for your plan. Do not use them for unrelated workloads, cryptocurrency mining, attacks, or activity that interferes with other users. We may take proportionate action to address excessive use, security incidents, or unlawful content, with notice where practicable.
The Services depend on networks and third-party infrastructure and may experience interruptions. Unless we separately agree in writing, we do not provide an uptime service-level agreement or guarantee continuous availability. Version history is an editing feature, not a guarantee of permanent backups or recovery of every change. These limitations do not remove our obligations under applicable law.
Acceptable use
You must not use the Services to:
- Break applicable law, infringe intellectual property or privacy rights, or publish material you lack permission to use.
- Facilitate fraud, phishing, impersonation, malware, unauthorized access, or theft of credentials or personal information.
- Distribute child sexual abuse material, exploit children, or facilitate violence, unlawful threats, harassment, or abuse.
- Send unlawful spam, deceptively collect personal data, or operate unlawful surveillance.
- Bypass security measures, model safeguards, payment requirements, access restrictions, or usage limits.
- Disrupt the Services, interfere with other users, or run unauthorized scans or attacks against systems you do not control.
- Copy, resell, or reverse engineer Reforma’s proprietary platform except where expressly permitted by us or by rights that applicable law does not allow us to restrict. This restriction does not apply to your own code or rights under an applicable open-source license.
You must also comply with restrictions applicable to third-party services you choose to connect or use, as made available for the relevant feature. A third party’s terms do not displace your non-excludable rights against Reforma.
Content reports and enforcement
Report suspected unlawful content, infringement, or abuse to info@reforma.ai. Identify the specific URL or material, explain the concern and your basis for it, and provide contact details so we can follow up. For a copyright complaint, also identify the copyrighted work and your authority to act for its owner. Do not submit knowingly false or misleading reports.
We may investigate reports and remove, restrict, or disable content or access when reasonably necessary to comply with law, enforce these Terms, or protect people or the Services. We will act proportionately and provide the affected customer with the reason and an opportunity to seek review, except where prohibited by law or where disclosure would compromise safety, security, or an investigation. You may request review at info@reforma.ai. We may terminate accounts responsible for repeated infringement in appropriate circumstances.
This reporting channel does not limit any statutory notice, counter-notice, appeal, or court remedy available to you.
Privacy and account deletion
Our Privacy Policy explains how we handle personal information and how to exercise privacy rights. Where we process personal data on behalf of a business customer, any applicable data processing agreement supplements these Terms. You must not submit data that requires safeguards or agreements the Services do not provide.
You may request account deletion by contacting info@reforma.ai. Deletion is distinct from cancelling automatic renewal: it ends access to the account and its projects, takes associated websites offline, and ends future Reforma subscription renewals for that account. It does not automatically cancel services you bought directly from third parties.
Once deletion is completed, you should not expect us to restore your account or projects. Deletion does not necessarily remove every copy immediately. Limited information may be retained where necessary and lawful for tax and accounting obligations, fraud prevention, security, or legal claims. Restricted backup copies are handled through deletion and backup processes. Retention must remain limited to the relevant purpose and applicable law; this is not permission for indefinite retention. The Privacy Policy describes applicable retention practices and rights.
Suspension and termination
Suspension for nonpayment follows the seven-day process in the Subscriptions and payments section. We may also suspend or terminate access for a material breach of these Terms, unlawful conduct, fraud, or a material risk to the Services or others. For other breaches that can be remedied, we will normally send an email identifying the issue and any deadline for correcting it. We may act immediately when necessary to comply with law, prevent harm, or address a security threat.
If we end a paid service for reasons unrelated to your breach, we will normally give at least 30 days’ notice. We will refund prepaid fees for the portion we will not supply and the unused purchase value of top-up credits we permanently make unusable. This remedy for our discontinuation does not create a voluntary refund right when you choose to cancel.
Suspension does not by itself expire purchased credits. On permanent termination, access ends, subject to any mandatory rights to retrieve content, obtain a refund, or redeem a balance. We will not impose forfeitures prohibited by law. Outstanding valid charges remain payable, and cancellation, termination, or deletion does not eliminate either party’s existing legal claims.
Provisions concerning accrued payment obligations, ownership, permitted retention, liability, indemnification, and dispute resolution survive to the extent necessary to give them effect.
Warranties and responsibility
Except for express commitments in these Terms and rights that cannot be excluded, the Services and AI output are provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant error-free AI output, uninterrupted service, or achievement of a particular commercial result.
For consumers, these qualifications do not exclude any applicable requirement that services conform to their description, be provided with reasonable care and skill, or meet statutory quality standards. They do not excuse fraud, misrepresentation, or other responsibility that cannot lawfully be excluded.
Limitation of liability
To the fullest extent permitted by law, Reforma will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services. For business customers, this exclusion also covers loss of profits, revenue, business opportunities, goodwill, or data, to the extent permitted by law.
Subject to the exceptions below, Reforma’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of USD 100 or the total fees you paid to Reforma for the Services during the 12 months immediately before the event giving rise to the claim. Payments made directly to an AI provider or other third party are not fees paid to Reforma.
These exclusions and this cap do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not allow us to exclude or limit. They do not limit statutory consumer remedies or amounts we expressly owe as refunds or billing corrections under these Terms. For consumers, no exclusion applies to loss or damage for which we must remain responsible under applicable consumer law.
Business customer indemnity
This section applies only if you use the Services as a business customer, not as a consumer. To the extent permitted by law, you will defend Reforma against a third-party claim arising from material you supplied without necessary rights, your unlawful use of the Services, or your material breach of these Terms, and pay resulting damages and reasonable legal costs finally awarded or agreed in settlement.
This obligation does not apply to the extent a claim results from Reforma’s breach, negligence, or misconduct, or solely from AI-generated output where you have not otherwise breached these Terms. We must promptly notify you of the claim, provide reasonable cooperation at your expense, and allow you to control the defense with competent counsel. A settlement cannot admit fault by Reforma, impose non-monetary obligations on Reforma, or fail to release Reforma without our written consent, which will not be unreasonably withheld.
Governing law and disputes
California law governs these Terms, without applying its conflict-of-law rules, except where mandatory law requires otherwise. Subject to the consumer protections below, disputes will be heard in the state courts located in Los Angeles County, California, or the federal courts for the Central District of California, and both parties consent to those courts’ jurisdiction.
If you are a consumer, this choice does not deprive you of mandatory protections available under the law of your habitual residence or require you to bring a claim somewhere different from a forum mandatory law makes available to you. Any restrictions on where we may bring claims against consumers also remain applicable.
You may contact info@reforma.ai to seek an informal resolution. Doing so is not a mandatory waiting period or a condition of exercising statutory rights, seeking urgent relief, or filing a claim. These Terms do not require arbitration or waive class or collective proceedings.
Changes and general provisions
We will give at least 30 days’ advance notice of material changes to these Terms by email or an appropriate in-product notice. A shorter period may apply only to the extent reasonably necessary to comply with law or address an urgent security or abuse risk. We will explain the change and its effective date. Changes will not retroactively alter an existing dispute.
If you do not agree to a change, you may cancel renewal and stop using the affected Services. We will obtain renewed acceptance where required by law; continued use will signify acceptance only where legally valid. Changes do not remove rights relating to services you already purchased or refunds required by law or these Terms.
These Terms, the purchase details you accept at checkout, and any separate written agreement expressly governing the Services form the agreement for your use. Specific purchase details govern prices, billing periods, and entitlements; they do not silently override the consumer protections or credit policies stated here. A separate agreement signed by you and Reforma controls an expressly identified conflict. Privacy notices explain processing and do not replace any legally required consent.
Neither party may assign this agreement without the other’s consent, except that Reforma may assign it as part of a merger, reorganization, or sale of the relevant business, provided this does not reduce your rights or guarantees. We will notify you of such an assignment. If a provision is unenforceable, the remaining provisions continue to apply to the extent legally permitted. A failure to enforce a provision is not a waiver of future enforcement. These Terms do not create rights for third parties except where mandatory law provides otherwise.
We may send service and legal notices to your account email or through the Services, using any additional form required by law. Keep your contact information current.
